C4 Bylaws

The Central California Canoe Club (C4) is an unincorporated nonprofit club affiliated with the American Canoe Association (ACA). C4 objectives and functions are as allows:
- To share canoeing as a safe, enjoyable, congenial and rewarding experience and to provide opportunities for members to increase their canoeing proficiency.
- To provide social, informational, and recreational opportunities associated with the sport.
- To coordinate canoeing activities as planned by tour leaders and/or organizers.
- To support and promote canoeing activities.
- To hold general membership meetings throughout the year.

| The Board:
The officers listed below constitute the Board which will determine policies and courses of action by a majority vote of the members present, with the exception of bylaws changes and other major matters deemed important enough to require a majority vote of the members present at the next general membership meeting. Board meetings will be called by the president or when requested by Board members. The Board may annually approve expenditures for normal club operations, e.g., meetings, programs, newsletters and sundries. Requests for donations approved by the Board will be submitted to the general membership for ratification.

Officer's Duties and Authority Limitations Are:
- President: Presides at the general membership and Board meetings. The president is fully authorized to represent the club with the restriction that the president obtains approval from the Board on changes of policy and major courses of action. The president is authorized to appoint necessary coordinators or club representatives for special tasks and projects. The president will appoint a nominating committee for the next year's officers three months prior to the last meeting.
- Vice President: Fulfills the duties of the president in the latter's absence. Performs liaison and coordination between the club and other organizations and individuals for special events.
- Secretary: Performs secretarial services in support of club activities.
- News Letter Editor: Arranges publicity for general membership meetings and club activities.
- Treasurer: Receives money, makes bank deposits, maintains financial records, pays club obligations and provides a Treasurer's report at Board meetings. The withdrawal of funds from the bank is limited to the Treasurer's and/or President's signature on account checks.
- Advisors: Up to three (3) advisors, the past president will be one of the advisors, unless the past president declines; The other two will serve staggered two year terms.
- Membership Chairperson: Processes membership applications, maintains applicants' files and reports all membership changes to the secretary.
- Tip Coordinator: Coordinates the publication of C4 activities.

| Nominations from the Nominating Committee for the next year's officers will be presented at the next to the last general membership meeting. Nominations will be held at the last general membership meeting of the current year. Nominations may also be made from the floor with the consent of the nominee. Officers, except for Advisors, serve for one year beginning February 1st and ending on January 31st. |
| Membership dues will be due one month after the election of the new officers. New members will pay a prorated amount of the annual dues. The amount of the dues will be determined on a quarterly basis, dependent on the quarter C4 and the ACA is joined. |
| These Bylaws will include the ACA Guidelines and Agreements. All members are required to sign an ACA "Waiver and Release of Liability" prior to participating in an ACA sanctioned activity. |
| Individual membership may be enjoyed by any person 18 years of age or older upon payment of dues and filling out a membership application. This form must be signed by all family members who participate in CENTRAL CALIFORNIA CANOE CLUB (C4) events. Minors are considered to be less than 18 years of age. Parent(s) and/or guardian(s) must sign waivers and accompany minors to events. |
The Membership provides and is limited to:
- Attendance to all meetings and special events.
- A subscription to Paddler Magazine and American Canoeist, ACA Membership card with identification, C4 Newsletters and Activity Schedule. A copy of the bylaws, and Tour Participant Requirements.
- Members may invite guests subject to the requirements of the ACA and the approval of the tour leader. Guests should be encouraged to join the club and participate as members.
- The optional use of the club equipment on arranged club events.
